We are pleased to inform you that Zebrs India OPC Private Limited has prepared an agreement to formalize our collaboration for offering your products on our website with EMI services. Please find the Agreement for Offline Vendor to Provide EMI Services Through Website attached for your review.

Key Points of the Agreement:

Product Listing and EMI Services:
Your products will be listed on our website.
We will facilitate EMI services for your products.
You are required to provide necessary customer documentation and delivery proof.

Payment and Fees:
Commission Rates - Please refer to the table provided below for a detailed breakdown of the commission rates.
Payments will be processed based on updated customer data provided by you.

Warranties and Indemnification:
You warrant the legality and quality of your products.
You will indemnify us against any claims arising from the sale of your products.

Term and Termination:
The agreement is ongoing and can be terminated with one month's notice after settling all liabilities.

Miscellaneous:
The agreement is governed by the laws of the Company Act 2013.
Disputes will be handled in the legal domain of the Rajasthan High Court.


To proceed, please review the attached agreement. If you agree to the terms, kindly reply to this email with your approval. Upon receipt of your approval, we will consider the agreement executed and begin our collaboration.
 
Agreement for Offline Vendor to Provide EMI Services Through Website
 
This Agreement ("Agreement") is made and entered into on 16 August 2024 (the "Effective Date") between Zebrs India OPC Private Limited (the "Website Owner") having its registered office at F-68 B, INDUSTRIAL AREA ROAD NUMBER 5, NEAR AAPNI YOJANA BHALERI ROAD, Churu, Rajasthan, 331001, and  xxxxxxxxx  (the "Vendor") having its registered office xxxxxxxxxxx . GSTIN/UIN:  xxxxxxxxxxxxxx

The Website Owner and Vendor may be collectively referred to as the "Parties" and individually as a "Party."
WHEREAS, the Vendor is engaged in the business of selling Electronics and desires to offer its products for sale on the Website Owner's website;
WHEREAS, the Website Owner operates a website and desires to offer the Vendor's products for sale on its website and to facilitate EMI services to its customers;
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the Parties agree as follows:
1. Product Listing and EMI Services
1.1 The Vendor shall provide the Website Owner with a list of its products that it desires to offer for sale on the Website Owner's website ("Product List").
1.2 The Website Owner shall publish the Product List on its website and shall make it available for purchase to its customers.
1.3 The Website Owner shall also provide EMI services to its customers for the purchase of the Vendor's products. The EMI services shall be subject to the terms and conditions set forth in this Agreement and any additional terms and conditions as may be agreed upon by the Parties.
1.4 The vendor shall provide the evidence of customers permanent address proof and current address proof.
1.5 The vendor shall provide the customer’s KYC document to the website owner (AADHAR and PAN).
1.6 The vendor shall provide the product details like serial number, IMEI number, etc.
1.7 The vendor shall provide the proof of delivery like photo or video. That can prove that the product is delivered at the customer's door.
1.8 The vendor shall provide the google map location of the customer delivery address.
1.9 The vendor shall provide customers two reference numbers one of them is mandatory that will belong to the customer's father or wife.
1.10 It is mandatory that the delivery address pin and permanent address pin are the same.
1.11 Any type of fraud that happens on the part of the vendor then the total liability of that case of the vendor and website owner have rights to publish this type of transaction at social media platforms.
2. Payment and Fees
2.1 The Website Owner shall be entitled to receive a commission on the sale of the Vendor's products through the Website Owner's website.
2.2 The Vendor shall be responsible for collecting payment from the website owner on the 2nd day of transaction Excluding Banking holidays, if the vendor is not able to update all the data about the customer as a sheet provided to him then payment will be delayed till data not updated.
3. Warranties and Representations
3.1 The Vendor warrants and represents that it has the legal right to sell the products listed on the Product List and that the products are of merchantable quality and fit for their intended use.
3.2 The Website Owner makes no warranties or representations regarding the Vendor's products and shall not be liable for any defects or damages arising from the sale or use of the Vendor's products.
4. Indemnification
4.1 The Vendor shall indemnify and hold harmless the Website Owner from and against any and all claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from or related to the sale of the Vendor's products through the Website Owner's website.
5 Term and Termination
5.1 This Agreement shall commence on the Effective Date and shall continue until terminated by either Party upon 1 month written notice after the closing of all type liability and in future, we need any type of data related to customer and transaction vendor is liable to provide that.
5.2 Either Party may terminate this Agreement immediately upon written notice if the other Party breaches any material term or condition of this Agreement after the closing of all type liability and in future needs any type of data related to customer and transaction vendor is liable to provide that.
5.3 The vendor has a responsibility for customers who opt for product finance through them.
5.4 It has to be kept in mind that the ownership of the goods should be with the shopkeeper, if there is any defect in it then it will be the responsibility of the shopkeeper only.
5.5 If a customer does not pay EMI or if a product is sold by the dealer showing different characteristics or if illegal activities like cash funding are conducted, then the dealer will be held responsible for it.

6. Miscellaneous
6.1 This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement.
6.2 This Agreement may not be amended or modified except in writing signed by both Parties.
6.3 This Agreement shall be binding upon and inure to the benefit of the Parties hereto and their respective successors and assigns.
6.4 This Agreement shall be governed by and construed in accordance with the laws of Company Act 2013 without regard to its conflict of law’s provisions.
6.5 The matter will be adjudicated in the legal domain of the Rajasthan High Court for any kind of dispute.

अवधि और समाप्ति:
समझौता चलू है और सभी दायित्वों को समाप्त करने के बाद एक महीने की सूचना के साथ समाप्त किया जा सकता है।

विविध:
समझौता कंपनी अधिनियम 2013 के कानूनों द्वारा नियंत्रित होगा।
विवादों का समाधान राजस्थान हाईकोर्ट के कानूनी क्षेत्र में किया जाएगा।

ऑफ़लाइन वेंडर के लिए वेबसाइट के माध्यम से ईएमआई सेवाएं प्रदान करने के लिए समझौता

यह समझौता ("समझौता") 16 August 2024 को (या "प्रभावी तिथि") जेबर्स इंडिया ओपीसी प्राइवेट लिमिटेड ("वेबसाइट मालिक") और     ("विक्रेता")     xxxxxxxxxxxxxx  के बीच होता है। वेबसाइट मालिक का पंजीकृत कार्यालय F-68 बी, इंडस्ट्रियल एरिया रोड नंबर 5, नियर आपनी योजना भालेरी रोड, चूरू, राजस्थान, 331001 में स्थित है, और विक्रेता का पंजीकृत कार्यालय xxxxxxxxxxxxxx. GSTIN/UIN:  xxxxxxxxxxxxxx

वेबसाइट मालिक और विक्रेता को संयुक्त रूप से "पक्ष" के रूप में संदर्भित किया जा सकता है और व्यक्तिगत रूप से "पक्ष" के रूप में।

जहां, विक्रेता  xxxxxxxxxxxxxx का व्यापार कर रहा है और इसे अपने उत्पादों को वेबसाइट मालिक की वेबसाइट पर बेचने के लिए प्रस्तुत करना चाहता है;

जहां, वेबसाइट मालिक एक वेबसाइट का परिचालन करता है और विक्रेता के उत्पादों को अपनी वेबसाइट पर बेचने की इच्छा है और इसके ग्राहकों को ईएमआई सेवाएं प्रदान करने की इच्छा है;

अब, इसके प्रतिबद्धता और गोपनीयता को ध्यान में रखते हुए, पक्षों ने निम्नलिखित के अनुसार सहमति जताई है:

1. उत्पाद सूचीकरण और ईएमआई सेवाएं

1.1 विक्रेता को वेबसाइट मालिक को उसके उत्पादों की सूची प्रदान करनी होगी जो वह वेबसाइट मालिक की वेबसाइट पर बेचना चाहता है ("उत्पाद सूची")।

1.2 वेबसाइट मालिक अपनी वेबसाइट पर उत्पाद सूची को प्रकाशित करेगा और उसे अपने ग्राहकों को खरीदने के लिए उपलब्ध कराएगा।

1.3 वेबसाइट मालिक अपने ग्राहकों को विक्रेता के उत्पादों की खरीद के लिए भी ईएमआई सेवाएं प्रदान करेगा। ईएमआई सेवाएं इस समझौते में निर्धारित शर्तों और यदि पक्षों द्वारा सहमत की जाए तो किसी भी अतिरिक्त शर्तों और स्थितियों के अधीन होंगी।

1.4 विक्रेता को ग्राहकों के स्थायी पते के सबूत और वर्तमान पते के सबूत प्रदान करना होगा।

1.5 विक्रेता को ग्राहक की KYC दस्तावेज (आधार और पैन) वेबसाइट मालिक को प्रदान करना होगा।

1.6 विक्रेता को उत्पाद विवरण जैसे सीरियल नंबर, आईएमईआई नंबर आदि प्रदान करना होगा।

1.7 विक्रेता को वितरण के सबूत के रूप में फोटो या वीडियो प्रदान करना होगा। जो साबित कर सके कि उत्पाद ग्राहक के द्वार पहुँचाया गया है।

1.8 विक्रेता को ग्राहक के वितरण पते का गूगल मानचित्र स्थान प्रदान करना होगा।

1.9 विक्रेता को ग्राहकों को दो संदर्भ संख्याएँ प्रदान करनी होंगी, जिनमें से एक अनिवार्य है जो ग्राहक के पिता या पत्नी की होगी।

1.10 वितरण पता पिन और स्थायी पता पिन समान होना चाहिए।

1.11 अगर विक्रेता की ओर से कोई भी प्रकार का धोखाधड़ी होता है तो उस मामले की कुल दायित्वता विक्रेता की होती है और वेबसाइट मालिक को ऐसे लेन-देन को सोशल मीडिया प्लेटफ़ॉर्म पर प्रकाशित करने का अधिकार होता है।

2. भुगतान और शुल्क

2.1 वेबसाइट मालिक को वेबसाइट मालिक की वेबसाइट के माध्यम से विक्रेता के उत्पादों की बिक्री पर कमीशन प्राप्त करने का अधिकार होगा। 
 
2.2 विक्रेता को वेबसाइट मालिक से लेन-देन का भुगतान करने की जिम्मेदारी होगी, जो लेन-देन के दूसरे दिन को होगी, बैंकिंग छुट्टियों को छोड़कर। अगर विक्रेता किसी ग्राहक के सभी डेटा को अपडेट नहीं कर पाता है, जैसा कि उसे एक शीट प्रदान की गई है, तो तब भुगतान को डेटा अपडेट नहीं होने तक विलम्बित किया जाएगा।

3. वारंटी और प्रतिष्ठान

3.1 विक्रेता गारंटी देता है और प्रतिष्ठा जताता है कि उसके पास उत्पाद सूची में सूचीबद्ध उत्पादों को बेचने का कानूनी अधिकार है और यह उत्पाद व्यापारिक गुणवत्ता के हैं और उनका उपयोग के लिए उपयुक्त हैं।

3.2 वेबसाइट मालिक विक्रेता के उत्पादों के बारे में कोई वारंटी या प्रतिष्ठा नहीं देता है और न उत्पाद के बिक्री या उपयोग से उत्पन्न किसी भी दोष या हानि के लिए जिम्मेदार होगा।

4. आरक्षण

4.1 विक्रेता वेबसाइट मालिक को विक्रेता के उत्पादों की बिक्री से संबंधित किसी भी और सभी दावों, क्षतिग्रस्तताओं, दायित्वों और व्ययों (सही वकील शुल्क सहित) से मुक्त कराने और सुरक्षित रखने की जिम्मेदारी होगी।

5. अवधि और समाप्ति

5.1 यह समझौता प्रभावी तिथि पर प्रारंभ होगा और सभी प्रकार की जिम्मेदारी के समापन के बाद लिखित सूचना के बाद 1 महीने के भीतर जीते हैं और भविष्य में ग्राहक और लेन-देन डेटा किसी भी प्रकार की आवश्यकता है, तो विक्रेता उसे प्रदान करने योग्य होंगे।

5.2 कोई भी पक्ष यदि अन्य पक्ष इस समझौते के किसी भी महत्वपूर्ण शर्त या स्थिति का उल्लंघन करता है, तो सभी प्रकार की जिम्मेदारी के समापन के बाद लिखित सूचना के तत्काल समाप्त कर सकता है और भविष्य में ग्राहक और लेन-देन डेटा किसी भी प्रकार की आवश्यकता है, तो विक्रेता उसे प्रदान करने योग्य होंगे।

5.3 विक्रेता को उन ग्राहकों के लिए जिम्मेदारी है जो उनके माध्यम से उत्पाद वित्तीय सेवाएं चुनते हैं।

5.4 यह ध्यान में रखा जाना चाहिए कि वस्त्र की स्वामित्व का व्यापारी के साथ होना चाहिए, यदि इसमें कोई दोष हो तो यह केवल व्यापारी की जिम्मेदारी होगी।

5.5 यदि कोई ग्राहक ईएमआई नहीं भरता है या यदि व्यापारी द्वारा विभिन्न विशेषताओं को दिखाते हुए कोई उत्पाद बेचा जाता है या यदि कैश वित्त प्रदान करने जैसी अवैध गतिविधियाँ की जाती हैं, तो उसके लिए व्यापारी जिम्मेदार होगा।

6. विविध

6.1 यह समझौता पक्षों के बीच संपूर्ण समझौता है और इस समझौते के विषय में सभी पूर्ववादित और समझौते को बदल देता है, चाहे वह लिखित हो या मौखिक हो।

6.2 इस समझौते को लिखित रूप में संशोधित या संशोधित नहीं किया जा सकता है बिना दोनों पक्षों द्वारा हस्ताक्षर किए गए।

6.3 यह समझौता पक्षों और उनके संदर्भीय उत्तराधिकारियों और सैंयक्त और असाइन करने वालों को बाध्य और लाभ पहुंचाएगा।

6.4 यह समझौता कंपनी अधिनियम 2013 के अनुसार नियंत्रित और व्याख्या किया जाएगा बिना इसके विवाद के कानून के प्रावधानों के।

6.5 किसी भी प्रकार के विवाद के लिए राजस्थान उच्च न्यायालय के कानूनी डोमेन में निर्धारित किया जाएगा।

साक्ष्य के रूप में, पक्षों ने इस समझौते को कार्रवाई की है।
